2. Centra and Software Accessibility
In 1998, Congress amended the Rehabilitation Act to require Federal agencies to make their electronic and information

7. Your Indemnity of Centra; Termination of Use.
You agree to indemnify and hold Centra harmless from all causes of action, claims and allegations (whether threatened or pending), costs, fees, charges, and expenses (including reasonable attorneys' and professionals' fees), judgments, damages, losses, and liabilities arising from or relating to the breach or alleged breach of your duties or obligations under this Agreement or your use of the Web Site or Web Site Content. For any indemnified matter, Centra will have full control of the response thereto and the defense thereof, including, without limitation, any agreement relating to the settlement thereof, and you will cooperate with Centra in such matter.
Centra may, at its option, terminate any person or entity's access to any or all of the Web Site upon any breach of the terms and conditions of this Agreement or for any other use of the Web Site which it deems improper in its sole discretion.
8. Digital Millennium Copyright Act Compliance.
Centra complies with the provisions of the Digital Millennium Copyright Act applicable to internet service providers (17 U.S.C. §512, as amended). 9. Privacy Policy.
Centra is concerned about user privacy and operates the Web Site under the Privacy Policy published herein. We urge you to read this policy now and, because the policy is updated from time to time, later at your convenience.
We value the privacy of visitors to our site and our members' information. Centra does not sell or release personal information and will never willfully disclose individually identifiable information to any third party without first receiving that person's permission.
The following information describes how we protect your information and private data.
Sign Up/Registration Information
In order to register for the Centra Trial Service, attend an event or class, or perform certain other tasks on this Web site, a user must first complete a registration form. During registration, a user is required to give his/her contact information (such as name and email address). This information may be used to contact the user about the services on our site for which they have expressed interest. Registered site users may occasionally receive communication about new products, services, or events. You may also choose to sign up to receive our email newsletter. All email communication from Centra will contain instructions of how to opt-out from receiving future promotions, newsletters, or announcements.
Event Registration Information
Private events and meetings, those not posted publicly on our Web site, may be hosted on Centra's Web servers. The registration information entered by those attending these private meetings and events is not used by Centra for marketing purposes. It is used by Centra to monitor site usage and to track support calls. The registration data and attendance information, contents of any Web presentations, live or recorded, visual or audio, and any content uploaded to Centra servers are considered private to the sponsor of the event where such information was collected. Centra makes no assertions about the sponsor's privacy policy for such events.
Free public events are posted on our Web site. Some of these events may be co-sponsored by a Centra customer or partner. When you attend one of these free public events, we may provide the attendance records of the event with the sponsoring organization. The shared attendance information includes personal information about you consisting only of your name and email address. The shared information may include information you provided during the registration process or through completing an optional event feedback form. Centra makes no assertions about the sponsor's privacy policy for such events.
Credit Card Orders
Centra offers certain items for sale on our site, including Centra logo merchandise and education subscription packages. We will disclose your personal information to our credit card processing company only to the extent necessary to verify and process your order.
Cookies
Centra uses Web browser cookies to save a few useful pieces of information about you in order to make it easier for you to use our site. For example, when you use the Centra Trial Service, your email and password can be saved, if you decide, to make the sign in process automatic each time you visit. You can choose to disable this feature by unchecking the "Remember Me" box on the Member Sign In page. Once disabled, you may manually sign in each time you visit.
In addition, when registering for a Centra public event or education class, your contact information can be saved, if you decide, so that the next time you wish to register for a class or event, the registration fields will auto-populate with your contact information making registration quicker. You can choose to disable this feature by unchecking the "Remember Me" box on the registration pages.
Meeting Content and Event Recording
When using the Centra Trial Service, we temporarily store uploaded Microsoft PowerPoint presentations on the Centra servers. These materials are deleted when either you or the Centra system deletes the associated meeting. An exception to this is when an event is being recorded.
Centra may record a public online session so that the online session or event can be re-used and publicly available as a resource to others who use Centra services and its Web sites. Your name and voice are captured in the recording as a result of the recording process. By participating in an online event delivered or hosted by Centra, you agree that your name and voice may be recorded during the event. In addition, Centra may re-use your name and voice in any recorded session, in whole or in part, in the future without your further review. If you choose not to have your name and voice recorded, you may choose not to take part in the session.
Feedback Information
We occasionally request feedback information about Centra services and events. You may provide this information voluntarily. We also occasionally request information in order for you to take part in special promotions and prizes for using the service. Centra support and marketing groups use the collected information in order to create the best service for our customers.
Web Server Access Logs
Like most public Web sites, our Web servers record your IP address, source URL and time and date of your visit. This information is used primarily to plan for system capacity and monitor usage of Centra services.
Centra Trial Service
The Centra Trial Service is owned and operated by Centra Software, Inc. Centra provides each registered trial member with the capability to use the Centra Trial service for a period of one month via the Internet with software from the Centra Web site. The Centra Trial Service requires some information about each user to personalize his/her trial service as well as to provide contact information to update him/her on new services and features of Centra products. We will not sell, share, or rent this information to others in ways different from what is disclosed in this statement.

Centra Trial Service Security Policy
The Centra Trial Service supports existing security policies and does not introduce any new threats into your organization. Centra supports access-control mechanisms that can limit who can participate in sessions.
Controlling Access to Your Meeting
Access control is the first level of security for your Centra Trial Service meetings. Centra employs several methods to ensure that only endorsed attendees have access to your meeting. If information is sensitive, it's critical to allow only these preferred attendees into your meeting, particularly if the sensitive information pertains to customers, partners, or other external entities. Graphic content pre-loaded into a session may be available to any user with a meeting ID outside of the scheduled session. This information will be periodically purged from our servers subsequent to the scheduled session. Application data that is shared during a meeting is not captured or stored on the Centra servers.
Meeting Listings
We do not post private meetings and business events on the public list of upcoming Centra events.
Meeting IDs and Passwords
When a meeting is scheduled, a unique meeting ID is generated and optionally sent to invitees via email. This helps to ensure that only invited meeting participants have access to your meetings.
Physical System Security
The Centra servers are kept in a locked, secure environment with restricted access. A strict privacy policy governs the management of user data that is kept on the Centra servers.
Data Stream Security
Content in Centra Trial Service eMeetings is transmitted via a proprietary encoded format. This makes it difficult but not impossible for determined parties to intercept and decode the information transmitted.
Firewall Support
A firewall can be anything from a set of filtering rules set up on the router between you and the Internet to an elaborate application gateway consisting of one or more specially configured computers that control access. Firewalls permit desired services coming from the outside, such as Internet email, to pass through. In addition, most firewalls now allow access to the Web from inside protected networks. This allows some services to pass, but not others. Centra is compatible with the vast majority of corporate firewalls and other security systems because it utilizes standard Web protocols (TCP/IP and HTTP) to communicate, and secure Java technology on the user's desktop.
The Centra Trial Service uses a sophisticated adaptive network connection manager. This manager attempts to connect to the Centra meeting server via the best possible means. In most cases, this connection is made directly to the meeting server via HTTP protocol over either port 1709 or 80. In these cases, you will have full functionality of the Centra client including audio conferencing and application sharing. If a direct connection to the meeting server cannot be made, Centra's connection manager attempts to connect through your Web proxy server. If successful, you will be told that you are connected but that audio and application sharing performance may be impacted. The adaptive network connection manager is completely firewall and Web proxy friendly. Centra Trial Service and Centra events can be accessed by corporate end-users behind a firewall or proxy server just as they would access any other Web site.

10. Applicable Law and Jurisdiction.
The Web Site (excluding links) is controlled by Centra and operated by Centra from its offices in and around Lexington, Massachusetts. Although Centra has made no effort to publish the Web Site elsewhere, because the Web Site is published on the World Wide Web it is accessible in all fifty states and other countries. As each of these places has laws that may differ from those of Massachusetts and from each other, and as you and Centra both benefit from establishing a predictable legal environment in which to operate, use or otherwise exploit the Web Site, by using the Web Site you and Centra agree that all matters arising from or relating to the use and operation of the Web Site will be governed by the substantive laws of The Commonwealth of Massachusetts, without regard to its conflicts of laws principles. You agree that all claims you may have arising from or relating to the operation, use or other exploitation of the Web Site will be heard and resolved in the courts in Boston, Massachusetts. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any object to proceeding in such courts. If you choose to gain access to the Web Site from locations other than Boston, Massachusetts, you will be responsible for compliance with all local laws of any such other location.
11. Miscellaneous.
No delay or omission by Centra in exercising any of its rights occurring upon any noncompliance or default by you with respect to any of the terms and conditions of this Agreement will impair any such right or be construed to be a waiver thereof, and a waiver by Centra of any of the covenants, conditions or agreements to be performed by you will not be construed to be a waiver of any succeeding breach thereof or of any other covenant, condition or agreement hereof. As used in this Agreement, "including" means "including but not limited to." The captions of this Agreement have been inserted solely for convenience of reference, in no way define or limit the scope or substance of any provision of this Agreement, and will not be considered in interpreting this Agreement. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement will remain in full force and effect and will be reformed to be valid and enforceable while reflecting the intent of the parties to the greatest extent permitted by law. Except as otherwise expressly provided herein, this Agreement sets forth the entire agreement between you and Centra regarding its subject matter, and supersedes all prior promises, agreements or representations, whether written or oral, regarding such subject matter.
